DISTANCE SALES AGREEMENT
(For Commercial Buyers — Wholesale Transactions)
This agreement governs the rights and obligations of the parties for all wholesale transactions carried out through www.toptanmoda.net. By placing an order, the Buyer is deemed to have accepted all provisions of this agreement.

Buyer:
The boutique owner, store operator, online seller, or any person purchasing products for commercial resale through the website.
2. Nature of the Agreement
ToptanModa is a wholesale sales platform.
All products sold on the platform are supplied for resale purposes, and therefore all purchases are commercial transactions.
The Buyer accepts and declares that the products are purchased for resale through a boutique, store, social media, home sales, marketplace, or similar commercial channels.
For this reason, the Turkish Commercial Code applies to all sales made through ToptanModa.
Consumer regulations and the 14-day right of withdrawal do not apply.
3. Subject of the Agreement
The subject of this agreement is the sale, price, delivery, return–exchange conditions, and the mutual rights and obligations regarding the products ordered electronically by the Buyer through www.toptanmoda.net.
4. Product Information and Orders
The Buyer is responsible for selecting the correct color, size, quantity, and variations during the order process.
Order cancellations or changes after the order is created depend on stock and operational status.
ToptanModa does not sell second-quality or defective products.
5. Price and Stock Verification
Prices listed on ToptanModa may occasionally be outdated due to currency fluctuations, production costs, supplier changes, or legacy product listings.
Therefore, price differences may occur between the website display and the current price.
After an order is created, the ToptanModa team verifies:
* Current stock availability
* Updated product prices
* Variation suitability
If there is any change in price or stock, the Buyer is always informed.
Orders are not processed, and no payment is collected without Buyer approval.
To validate the order, the Buyer must confirm the updated price.
6. Pricing and Payment
All prices shown on the website are wholesale prices.
The Buyer is responsible for paying the total amount displayed at checkout.
Promotions, discounts, or price drops that occur after the order does not grant any rights to the Buyer.
Accepted payment methods:
* Bank Transfer (TL – USD – EUR)
* Credit Card (Domestic)
* Western Union
* MoneyGram
* UPT
* Zolotaya Korona
Order processing does not begin until payment is received.
7. Delivery and Shipping Process
ToptanModa is responsible for delivering the complete order to the selected courier/logistics company.
After handover, the process is under the responsibility of the shipping company.
ToptanModa is not liable for delays, loss, damage, or operational issues caused by the courier; however, customer support is provided.
The Buyer must inspect the delivered products within 48 hours.
8. Returns, Exchanges, and Credit Balance
Since ToptanModa is a wholesale platform, consumer return rules do not apply.
Solutions are provided only in the following cases:
* Wrong product shipped
* Completely different model received
* Clear manufacturing defect
In such cases, the Buyer may receive:
* A product exchange
* or a credit balance for the product amount
Due to the commercial nature of transactions, cash refunds are not obligatory.
9. Limitation of Liability
The Seller is not responsible for:
* Incorrect size/color/quantity selection
* Damage, loss, or delays caused by the shipping company
* Incorrect or improper product use
* Stock depletion or price updates
10. Privacy and Data Protection
All information entered by the Buyer is protected under applicable data protection laws (KVKK).
Such information is used solely for order processing, invoicing, and legal requirements.
11. Force Majeure
Natural disasters, war, internet outages, infrastructure failures, official regulations, and circumstances beyond the parties’ control are considered force majeure.
In such cases, the Seller cannot be held liable.
12. Jurisdiction
Any disputes arising between the parties shall be resolved by the Istanbul Central Courts and Enforcement Offices.
13. Enforcement
By placing an order through www.toptanmoda.net, the Buyer acknowledges that they have read, understood, and accepted all provisions of this agreement.
The agreement enters into force upon order confirmation.
